By accessing or using Upkit's services, including our browser extension and web application, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Description of Service
Upkit provides AI-powered tools for freelancers and agencies using Upwork. Our services include job analysis, proposal generation, red flag detection, and team management features. We reserve the right to modify, suspend, or discontinue any part of our services at any time.
Account Registration
To use our services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
Acceptable Use
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Violate Upwork's terms of service while using our tools
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services
- Share your account with others or resell access
- Submit false, misleading, or plagiarized content
- Use automated systems to access our services without permission
Intellectual Property
All content, features, and functionality of Upkit are owned by us and protected by intellectual property laws. You retain ownership of content you create using our tools, including generated proposals. You grant us a limited license to use your content to provide and improve our services.
AI-Generated Content
Our AI tools assist in generating proposals and analyzing jobs, but you are solely responsible for reviewing, editing, and submitting any content. We do not guarantee the accuracy, quality, or success of AI-generated content. Always review generated proposals before submission.
Payment and Subscriptions
Paid features require a subscription. By subscribing, you agree to pay all fees associated with your plan. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with our refund policy.
Limitation of Liability
To the maximum extent permitted by law, Upkit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that our services will be uninterrupted, error-free, or secure. We are not affiliated with Upwork Inc. and do not guarantee any specific outcomes on the Upwork platform.
Termination
We may terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use our services will cease immediately.
Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of significant changes via email or through our services. Your continued use after changes constitutes acceptance of the modified terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Upkit operates, without regard to conflict of law principles.
